Time Sensitive Ballot for Plan Confirmation

Dear DigitalTown creditors and shareholders,

As you already know, DigitalTown filed for relief under Chapter 11, Subchapter V of the United States Bankruptcy Code on September 8, 2020. On October 18, 2021, we filed our modified Plan of Reorganization. The modified plan is enclosed, along with a court order and a ballot. Paper copies have been mailed to all creditors and registered shareholders.

This response is time sensitive. The original signed and completed ballot must be received by the Clerk of Bankruptcy Court no later than November 26, 2021, in order for your vote to be counted. Further instructions are on the ballot itself. The plan confirmation hearing is scheduled for December 2, 2021.

When completing the ballot, please note:

  • If you are a creditor, include your claim amount, and your interests are in Class 2
  • If you are an equity holder whose shares were issued in consideration for the conversion of debt into equity prior to DigitalTown’s filing, your interests are in Class 3
  • If you obtained your shares by some other means (purchased directly, stock-based compensation, or other), your interests are in Class 4

If you fall under more than one class, please complete one ballot for each class.
